1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the SubbyWork website located at https://subby.work and any associated services offered by SUBBYWORK LIMITED (collectively, the “Platform”).

SUBBYWORK LIMITED (“SubbyWork”, “we”, “us”, or “our”) is a private limited company incorporated in Ireland with its registered office at The Black Church, St. Mary’s Place, Dublin 7, D07 P4AX, Ireland. By accessing, registering for, or using the Platform in any capacity, you (“you”, “your”, or “User”) agree to be legally bound by these Terms, together with our Privacy Policy and Cookie Policy, which are incorporated by reference.

If you do not agree to these Terms in their entirety, you must not access or use the Platform.

By using the Platform, you affirm that you are at least 18 years old or have reached the age of majority in your jurisdiction, and you have the legal capacity to enter into these Terms. If you are using the Platform on behalf of a business, you represent that you are authorised to bind that entity to these Terms.

You further agree that each use of the Platform reaffirms your agreement to the then-current version of these Terms. We may revise these Terms at any time. If we do so, we will update the “Last Updated” date at the top of this page. It is your responsibility to review the Terms regularly. Your continued use of the Platform after changes are posted constitutes acceptance of those changes.

4. Scope of Services

SubbyWork operates a digital platform that enables subcontractors to build professional profiles, discover posted job opportunities, and connect with contractors seeking qualified tradespeople. Contractors may publish job listings and view public subcontractor profiles.

We are not a recruitment agency, labour provider, or employment broker. SubbyWork is a passive venue; we do not participate in communications, transactions, hiring decisions, or the enforcement of any contract between Users. You acknowledge that any engagement or business arrangement entered into between Users is at their own risk.

5. Use of SubbyWork Content

All content, code, design elements, software, text, images, graphics, logos, trademarks, and other materials made available on the Platform (collectively, the “SubbyWork Content”) are the intellectual property of SUBBYWORK LIMITED or its licensors and are protected by applicable intellectual property laws, including copyright and trademark laws.

Subject to your compliance with these Terms, SubbyWork grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Platform and SubbyWork Content solely for the purposes of using the Services. This licence does not grant you ownership of any intellectual property and may be revoked at any time without notice.

Any conduct that, in our sole discretion, restricts or inhibits another User from enjoying the Platform will not be tolerated. We reserve the right to investigate and take legal action against violations, including account suspension or termination.

7. Account Registration and Security

To access certain features of the Platform, including posting or responding to job listings, you must register and maintain an active User account. You agree to provide accurate, complete, and current information during registration and to promptly update any changes.

You are solely responsible for maintaining the confidentiality of your account credentials. You agree not to share your login details or grant access to your account to any third party. You are responsible for all activity that occurs under your account, whether authorised or not.

SubbyWork reserves the right to suspend or terminate your account at any time if, in our sole judgment, you are in breach of these Terms or your conduct poses a risk to the integrity of the Platform.

8. Profile Listings

Users who register as subcontractors may create a professional profile on the Platform for visibility and engagement purposes. By doing so, you represent and warrant that all information provided in your profile is accurate, current, and pertains directly to your trade, qualifications, and service areas.

We reserve the right to edit, disable, or remove any profile, in whole or in part, that we deem, in our sole discretion, to violate these Terms or any applicable law.

9. User Content and Submissions

You retain ownership of all content that you upload, submit, or post to the Platform, including profile information, responses to listings, or messages (collectively, “User Content”). However, by submitting such content, you grant SUBBYWORK LIMITED a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to use, reproduce, distribute, publicly display, and adapt the User Content as necessary to operate, market, and improve the Platform.

You represent and warrant that:

SubbyWork does not assume liability for User Content and is under no obligation to monitor content submitted by Users. Nevertheless, we reserve the right to remove or restrict access to any User Content at any time and for any reason.

SubbyWork respects the intellectual property rights of others and expects Users to do the same. If you believe that any material on the Platform infringes upon your intellectual property rights, you may submit a written notice to:

12. Termination for Infringement

SubbyWork reserves the right to suspend or permanently disable access to any account that, in our sole judgment, has engaged in repeated intellectual property infringement or any serious single infringement. We may do so without prior notice if we believe the violation poses a threat to the integrity of the Platform or the rights of third parties.

Termination may also be applied where required by law, by legal order, or in response to a valid intellectual property claim.

13. Platform Use Disclaimer

The Platform functions as a neutral venue for subcontractors and contractors to discover and communicate with one another. We do not vet, endorse, or guarantee any job listing, subcontractor profile, or User-provided content. We are not a party to any transaction or employment arrangement, and we assume no responsibility for the accuracy, reliability, or legitimacy of any third-party interaction facilitated through the Platform.

Users are solely responsible for verifying the credentials, qualifications, and intentions of any party they engage with via the Platform. You acknowledge that your use of the Platform is at your own risk.

14. Disclaimer of Warranties

To the fullest extent permitted under applicable law, the Platform and all content and services provided through it are offered on an “as is” and “as available” basis without warranty of any kind, whether express, implied, statutory, or otherwise.

SubbyWork expressly disclaims all warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, system integration, or uninterrupted access. We do not guarantee that the Platform will be error-free, secure, or continuously available.

You assume all risk for any damage to your device, loss of data, or other consequences resulting from your use of the Platform or downloading of any materials from it.

15. Limitation of Liability

To the maximum extent permitted by applicable law, SubbyWork and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including, but not limited to, loss of profits, loss of data, loss of use, loss of goodwill, or other intangible losses), arising out of or in connection with:

For subcontractors using SubbyWork: The total liability of SUBBYWORK LIMITED for any claims arising out of or relating to your use of the Platform shall not exceed EUR 100.

These limitations apply to any theory of liability, whether based on warranty, contract, tort, negligence, strict liability, or otherwise, and whether or not we were informed of the possibility of such damages.

16. Third-Party Links and Services

The Platform may contain links to external websites or resources maintained by third parties. These links are provided for your convenience only. We do not control, endorse, or assume any responsibility for the content, availability, accuracy, or practices of third-party websites or services.

You acknowledge that accessing such third-party links is done entirely at your own risk, and we shall not be liable for any loss or damage arising from your use of those resources.

17. Indemnification

You agree to defend, indemnify, and hold harmless SUBBYWORK LIMITED, its affiliates, directors, officers, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

SubbyWork reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

18. Governing Law and Jurisdiction

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of Ireland.

The courts of Ireland shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation.

19. Severability

If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions.

20. Waiver

No waiver by SubbyWork of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by SubbyWork to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

21. Mobile Services

If you access or use the Platform through a mobile device, you agree that information about your use may be communicated to us, including but not limited to your device type, operating system, and location. Your mobile carrier’s normal rates and fees may apply, including SMS and data charges.

Any SubbyWork mobile application or mobile-enabled website may be subject to separate terms of use or end-user license agreements, which you agree to comply with upon download or installation.

22. Term and Termination

These Terms shall remain in full force and effect while you use the Platform. We may, in our sole discretion and without notice, suspend, terminate, or restrict your account or access to any part of the Platform for any reason, including, without limitation, if we believe you have violated these Terms, applicable laws, or the rights of any third party.

Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, disclaimers, indemnities, and limitations of liability.

23. Data Protection and Processing

SUBBYWORK LIMITED processes personal data of Users in accordance with the General Data Protection Regulation (EU) 2016/679 (GDPR) and applicable Irish data protection laws. We collect only the minimum data necessary to provide the Services, and all such data is handled securely and lawfully.

Users have the right to access, rectify, restrict, or delete their personal data, subject to legal retention requirements. For full details on how we collect, store, and use personal data, please refer to our Privacy Policy.

24. No Employment Relationship

Nothing in these Terms creates or shall be deemed to create an employment, joint venture, agency, or fiduciary relationship between SUBBYWORK LIMITED and any User. Users acknowledge that they act as independent parties, and SubbyWork does not supervise or control work conducted between Contractors and Subcontractors.

25. Third-Party Tools and Integrations

The Platform may use or integrate with third-party tools or services to enhance functionality (e.g. mapping tools, analytics, or job filtering). Use of such tools is subject to the third party’s own terms and conditions. SUBBYWORK LIMITED is not responsible for the functionality, availability, or accuracy of such third-party services.

26. Force Majeure

SUBBYWORK LIMITED shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, power failures, or internet outages.

27. Modifications and Availability

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice. We shall not be liable to you or any third party for any such modification or discontinuation.

28. Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.

29. Entire Agreement

These Terms, together with our Data Privacy Protection Policy and Cookie Policy, constitute the entire agreement between you and SUBBYWORK LIMITED with respect to your use of the Platform, superseding any prior agreements or understandings.
